End User License Agreement

1. Introduction
This End User License Agreement ("EULA") is a legally binding agreement between you, the individual or entity accessing or using the platform ("User," "you," or "your"), and Cannomic ("Licensor," "we," "us," or "our") governing your use of the specimenOS software-as-a-service platform, including all associated features, functionality, interfaces, and documentation (collectively, the "Software").
By creating an account, accessing, or otherwise using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this EULA. If you are accepting this EULA on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
If you do not agree to all terms and conditions of this EULA, you must not access or use the Software.
2. License Grant
Subject to your compliance with this EULA and all applicable subscription terms, Cannomic hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software through a standard web browser during the term of your active subscription.
This license is personal to the User's account and the workspace(s) associated with that account. The scope of your license (including the number of permitted users, workspaces, and available features) is determined by your subscription tier and any applicable order form.
No rights are granted to you other than as expressly set forth in this EULA. Cannomic reserves all rights not expressly granted herein.
3. SaaS Nature of the Software
The Software is provided exclusively as a cloud-based software-as-a-service. You acknowledge and agree that:
- The Software is not installed locally on your device. All processing occurs on servers controlled by Cannomic and its infrastructure providers.
- Cannomic is solely responsible for hosting, maintaining, securing, and updating the Software.
- You access the Software exclusively via a web browser over an internet connection.
- No physical media, downloadable executables, or offline copies of the Software are provided or authorized.
- Continued access to the Software requires an active internet connection and a supported web browser. Cannomic is not responsible for disruptions caused by your local network, hardware, or internet service provider.
4. License Restrictions
You shall not, directly or indirectly, and shall not permit any third party to:
- Copy, reproduce, modify, adapt, translate, or create derivative works based on the Software or any portion thereof.
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover or reconstruct the source code, underlying algorithms, data structures, or architecture of the Software.
- Sublicense, sell, resell, lease, rent, transfer, assign, distribute, or otherwise make the Software available to any third party, except as expressly authorized by your subscription terms.
- Use the Software, or any data or content obtained through the Software, to build, assist, or contribute to a product or service that competes with specimenOS or any other Cannomic offering.
- Remove, obscure, alter, or deface any proprietary notices, labels, trademarks, logos, or branding displayed in or on the Software.
- Use bots, crawlers, scrapers, spiders, or any other automated tool or mechanism to access, extract, harvest, index, or collect data from the Software without prior written authorization from Cannomic.
- Attempt to circumvent, disable, or interfere with any security feature, access control, authentication mechanism, rate limit, or usage restriction of the Software.
- Use the Software in violation of any applicable local, state, national, or international law or regulation.
- Share, disclose, or transfer account credentials to any unauthorized person, or allow any individual to access the Software using your credentials without proper authorization under your subscription plan.
- Interfere with, disrupt, degrade, or impair the performance or availability of the Software or its underlying infrastructure, including servers, networks, and databases.
- Transmit any virus, worm, trojan, malware, or other harmful code through the Software.
- Use the Software to store or transmit content that is unlawful, defamatory, obscene, or otherwise objectionable.
5. Intellectual Property
All rights, title, and interest in and to the Software, including without limitation all source code, object code, algorithms, data structures, user interface designs, visual elements, documentation, trade secrets, trademarks, service marks, trade dress, and all improvements, modifications, and derivative works thereof, are and shall remain the exclusive property of Cannomic and its licensors.
This EULA does not convey to you any ownership interest in the Software, but only a limited right of use that is revocable in accordance with the terms herein.
"specimenOS" and "Cannomic" are trademarks of Cannomic. You may not use these marks without prior written consent from Cannomic, except as reasonably necessary to identify the Software in connection with your authorized use.
Any feedback, suggestions, ideas, or enhancement requests you provide to Cannomic regarding the Software ("Feedback") shall become the sole property of Cannomic. You hereby assign all right, title, and interest in any Feedback to Cannomic without any obligation of compensation or attribution.
6. Customer Data Ownership
You retain all rights, title, and interest in and to any data, content, records, and information that you or your authorized users input, upload, or generate within the Software ("Customer Data"). Cannomic claims no ownership of Customer Data.
You grant Cannomic a limited, non-exclusive, worldwide license to host, store, process, and display Customer Data solely to the extent necessary to provide, maintain, protect, and improve the Software. This license terminates when your subscription ends and Customer Data is deleted in accordance with our data retention policies.
Cannomic may use aggregated, anonymized, or de-identified data derived from Customer Data for analytics, benchmarking, and service improvement purposes, provided such data cannot reasonably be used to identify you or any individual.
You are solely responsible for the accuracy, legality, and appropriateness of all Customer Data. You represent and warrant that you have all necessary rights and permissions to input Customer Data into the Software.
7. Updates and Modifications
Cannomic may, at its sole discretion and at any time, update, modify, enhance, or discontinue any feature, functionality, or aspect of the Software, with or without notice. Such changes may include, but are not limited to:
- Bug fixes, security patches, and performance improvements.
- Addition, modification, or removal of features and functionality.
- Changes to the user interface, APIs, or data structures.
- Updates to third-party components, libraries, or infrastructure.
Cannomic has no obligation to maintain backward compatibility, preserve specific features, or provide advance notice of changes, except as required by applicable law or as specified in a separate Service Level Agreement.
All updates to the Software are automatically applied. You acknowledge that you have no right to receive or decline any specific update, and that continued use of the Software following any update constitutes acceptance of such update.
8. Third-Party Components
The Software may incorporate or depend upon open-source software components, each of which is subject to its own license terms. A list of open-source components and their respective licenses is available upon written request to Cannomic. Nothing in this EULA limits or modifies the rights granted to you under any applicable open-source license.
The Software also relies on third-party infrastructure and service providers, including but not limited to:
- Supabase for database, authentication, and real-time services.
- Vercel for application hosting and edge delivery.
- Stripe for payment processing and subscription billing.
Your use of these third-party services is governed by their respective terms of service and privacy policies. Cannomic is not responsible for the acts, omissions, or availability of any third-party service provider.
9. Agricultural Disclaimer
The Software is a recordkeeping and workflow management tool designed for use in cultivation and horticultural operations. It does NOT constitute and shall not be construed as providing:
- Agricultural advice, agronomic recommendations, or horticultural guidance.
- Cultivation protocols, pest or disease management strategies, or integrated pest management recommendations.
- Compliance assessments, regulatory advice, or certification guidance for any agricultural, food safety, or environmental standard.
- Guarantees or predictions regarding crop yield, growth rate, plant health, contamination outcomes, or harvest results.
Users are solely and exclusively responsible for all cultivation decisions, protocol selections, pest management actions, and compliance obligations. The Software merely records and organizes data as input by Users; it does not validate, verify, or guarantee the accuracy or suitability of that data.
Cannomic expressly disclaims all liability for crop performance, losses, failures, contamination events, regulatory non-compliance, or any other adverse outcome arising from or related to cultivation activities, regardless of whether the Software was used in connection with such activities.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANNOMIC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, title, and non-infringement.
- WARRANTIES of accuracy, reliability, or completeness of any data, content, or results generated by or through the Software.
- WARRANTIES that the Software will be error-free, uninterrupted, secure, timely, or free of viruses or other harmful components.
- WARRANTIES that the Software will meet your specific requirements or expectations, or that any defects will be corrected.
- WARRANTIES arising from course of dealing, course of performance, or usage of trade.
You acknowledge that you use the Software at your own risk and that Cannomic does not warrant that the Software will operate in combination with any other software, hardware, or system not provided by Cannomic.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CANNOMIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, business opportunity, goodwill, or anticipated savings.
- Any loss or corruption of data, including Customer Data, regardless of cause.
- Any cost of procurement of substitute goods or services.
- Any damages arising from unauthorized access to or alteration of your data or transmissions.
- Any damages arising from crop losses, cultivation failures, contamination events, or other agricultural outcomes.
These limitations apply regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Cannomic has been advised of the possibility of such damages.
IN NO EVENT SHALL CANNOMIC'S TOTAL AGGREGATE LIABILITY UNDER THIS EULA EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO CANNOMIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.
12. Term and Termination
This EULA is effective from the date you first access or use the Software and shall continue for the duration of your active subscription, unless terminated earlier in accordance with this section.
12.1 Termination by User
You may terminate this EULA at any time by canceling your subscription and ceasing all use of the Software. Cancellation does not entitle you to a refund except as set forth in the Refund Policy.
12.2 Termination by Cannomic
Cannomic may terminate or suspend this EULA and your access to the Software immediately, without prior notice, if:
- You breach any provision of this EULA.
- You fail to pay subscription fees when due and such failure continues for more than fourteen (14) days after notice.
- Cannomic reasonably believes your use poses a security risk or may subject Cannomic to liability.
- Required by law, regulation, or legal process.
- Cannomic discontinues the Software or ceases operations.
12.3 Effect of Termination
Upon termination of this EULA for any reason:
- The license granted herein terminates immediately, and you must cease all access to and use of the Software.
- Cannomic may delete your account data, including Customer Data, after the data retention period specified in the Terms of Service and Privacy Policy.
- Sections 4, 5, 6, 9, 10, 11, 13, 14, 15, and 16 shall survive termination.
13. Export Compliance
You acknowledge that the Software and any related technical data may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR), as well as trade sanctions programs administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC).
You represent and warrant that:
- You are not located in, organized under the laws of, or a resident of any country or territory that is subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions).
- You are not listed on any U.S. government restricted party list, including the Specially Designated Nationals and Blocked Persons List (SDN List), the Entity List, or the Denied Persons List.
- You shall not export, re-export, or transfer the Software or any technical data to any prohibited country, entity, or person, directly or indirectly.
- You shall comply with all applicable export control laws and regulations in your use of the Software.
14. Governing Law and Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without giving effect to any principles of conflicts of law.
Any dispute, controversy, or claim arising out of or relating to this EULA, or the breach, termination, or validity thereof, shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
You agree that any cause of action arising out of or related to this EULA must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.
Each party waives any right to a jury trial in connection with any dispute arising under this EULA.
15. Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this EULA shall continue in full force and effect. The invalidity or unenforceability of any provision in one jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction.
16. Entire Agreement
This EULA, together with the Terms of Service, Privacy Policy, Acceptable Use Policy, and any applicable order form or subscription agreement, constitutes the entire agreement between you and Cannomic with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding such subject matter.
No amendment or modification of this EULA shall be binding unless made in writing and signed by an authorized representative of Cannomic, or published as an updated version of this EULA on the specimenOS website. Your continued use of the Software after any such modification constitutes your acceptance of the modified EULA.
No waiver of any provision of this EULA shall be deemed a further or continuing waiver of such provision or any other provision. Cannomic's failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.
