Terms of Service

1. Introduction
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cannomic ("the Company," "Cannomic," "we," "us," or "our"). These Terms govern your access to and use of SpecimenOS ("the Service"), including all associated websites, applications, APIs, and any related services provided by Cannomic.
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "User" shall include that organization.
If you do not agree to these Terms, you must not access or use the Service.
2. Definitions
- "Service" means the SpecimenOS cultivation management platform, including all software, features, tools, integrations, documentation, APIs, and any updates or modifications thereto.
- "User" means any individual or entity that creates an account, accesses, or uses the Service.
- "Workspace" means an isolated tenant environment within the Service associated with a single subscription, containing that tenant’s data, users, and configuration.
- "Content" means all text, images, data, protocols, SOPs, files, and other materials uploaded, submitted, or transmitted through the Service by a User.
- "Customer Data" means all data, records, files, and information that a User uploads, creates, stores, or processes through the Service, including but not limited to cultivation records, batch data, protocols, observations, quality reports, inventory data, and equipment logs.
- "Cannomic" means Cannomic and its subsidiaries, affiliates, officers, directors, employees, agents, and licensors.
3. Account Terms
3.1 Registration
To use the Service, you must register for an account by providing accurate, current, and complete information. You agree to update your information promptly to keep it accurate and complete at all times. Providing false, misleading, or outdated registration information is grounds for immediate termination of your account.
3.2 Account Security
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any authentication tokens. You agree to notify Cannomic immediately at legal@specimenos.com upon becoming aware of any unauthorized use of your account or any other breach of security. You are responsible for all activities that occur under your account, whether or not authorized by you. Cannomic shall not be liable for any loss or damage arising from your failure to maintain the security of your account.
3.3 One Person Per Account
Each account is intended for use by a single individual. You may not share your login credentials with any other person. If your subscription tier permits multiple users, each user must have their own individual account within your Workspace.
3.4 Minimum Age
You must be at least 18 years of age to create an account and use the Service. By creating an account, you represent and warrant that you are at least 18 years old. If we learn that an account has been created by a person under the age of 18, we will terminate that account immediately.
4. Subscription & Billing
4.1 Subscription Tiers
The Service is offered under the following subscription tiers, each with specified limits:
- Hobbyist — $20 per month. Includes 1 user and 1 Workspace.
- Lab — $100 per month. Includes up to 5 users within 1 Workspace.
- Institution — $200 per month. Includes unlimited users and unlimited Workspaces.
Annual billing is available at a discounted rate. Details of annual pricing are provided during the checkout process.
4.2 Billing & Payment
All payments are processed through Stripe. By subscribing to a paid plan, you authorize Cannomic and its payment processor to charge your designated payment method on a recurring basis at the then-current subscription rate. Billing cycles begin on the date of your initial subscription and recur monthly or annually depending on your selected billing period.
4.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current rate for your subscription tier upon each renewal.
4.4 Price Changes
Cannomic reserves the right to change subscription pricing at any time. We will provide at least 30 days’ prior written notice of any price increase via email to the address associated with your account. Price changes will take effect at the beginning of your next billing cycle following the notice period. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.
4.5 Taxes
All fees are exclusive of applicable taxes (including sales tax, VAT, GST, and similar taxes). You are responsible for paying all taxes associated with your subscription. If Cannomic is required to collect or remit taxes on your behalf, those taxes will be added to your invoice.
4.6 Failed Payments & Grace Period
If a payment fails, we will attempt to charge your payment method up to three additional times over a 14-day period. During this grace period, your access to the Service will continue. If payment remains unsuccessful after the grace period, your account may be downgraded, suspended, or terminated at Cannomic’s discretion, and you remain liable for all unpaid fees.
5. Free Trial
Cannomic may offer a free trial period of 14 days for new users. During the free trial, you will have access to the full features of the Service. No credit card is required to start a free trial.
At the end of the free trial period, your account will be converted to a read-only state unless you subscribe to a paid plan. Your data will be retained for 30 days following the expiration of your free trial. After this 30-day retention period, your data may be permanently deleted. Cannomic is under no obligation to retain data beyond this period.
6. Fair Use
Certain subscription tiers may describe features or resources as "unlimited." All "unlimited" features are subject to a fair use policy. Cannomic reserves the right to define and enforce reasonable use thresholds to ensure the quality and availability of the Service for all users.
If your usage materially exceeds the average usage patterns of other users on the same tier, or if your usage negatively impacts the performance or availability of the Service, Cannomic may contact you to discuss your usage, request that you upgrade to a higher tier, or impose reasonable limits on your account. Cannomic will provide reasonable notice before enforcing any such limits, except in cases where immediate action is necessary to protect the integrity of the Service.
7. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. In addition to the Acceptable Use Policy, you agree that you will not:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service or any part thereof.
- Use any automated means, including bots, scrapers, crawlers, or similar technologies, to access, collect data from, or interact with the Service without Cannomic’s prior written consent.
- Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, networks, or any connected systems.
- Transmit any viruses, malware, or other harmful code through the Service.
- Sublicense, resell, or redistribute the Service or access thereto without Cannomic’s prior written consent.
- Use the Service in a manner that violates any applicable local, state, national, or international law or regulation.
8. Agricultural & Cultivation Disclaimer
THIS SECTION IS CRITICAL. PLEASE READ IT CAREFULLY.
SpecimenOS is decision-support and recordkeeping software only. The Service is designed to assist users in organizing, tracking, and managing cultivation operations. It is a tool for data management and operational recordkeeping.
The Service is NOT and does NOT provide:
- Agricultural advice, guidance, or recommendations.
- Agronomic, horticultural, or plant science consulting services.
- Legal or regulatory compliance advice of any kind.
- Guarantees, predictions, or assurances regarding crop outcomes, yields, quality, or success.
- Pest management advice, integrated pest management (IPM) recommendations, or pesticide application guidance.
- Environmental control recommendations or setpoints.
Cannomic expressly disclaims all liability for the following, whether arising from the use of, reliance on, or inability to use the Service:
- Crop loss or crop failure of any kind, including partial or total loss of plants, seedlings, clones, tissue cultures, or any other plant material.
- Contamination, including but not limited to bacterial, fungal, viral, or pest contamination of any cultivation materials, media, or environments.
- Pest damage, including damage from insects, mites, fungi, bacteria, viruses, or any other biological agents.
- Yield reduction, including lower-than-expected multiplication rates, growth rates, or harvest quantities.
- Plant death, whether of individual specimens or entire batches, for any reason whatsoever.
- Equipment failure or malfunction, including failure of autoclaves, growth chambers, fertigators, environmental controls, or any other equipment tracked or logged through the Service.
- Financial losses arising from any of the above, including lost revenue, lost contracts, or lost business opportunities.
- Environmental or ecological damage resulting from cultivation activities managed or tracked through the Service.
Users are solely and exclusively responsible for:
- All decisions related to their cultivation activities, including but not limited to species selection, protocol design, environmental parameters, nutrient formulations, pest management strategies, and harvest timing.
- Determining whether their cultivation activities comply with all applicable federal, state, local, and international laws and regulations, including but not limited to regulations governing cannabis cultivation, controlled substances, agricultural chemicals, plant quarantine, phytosanitary requirements, and environmental protection.
- Obtaining and maintaining all necessary licenses, permits, and approvals required for their cultivation activities.
- The accuracy and completeness of all data entered into the Service.
- Independently verifying any information, calculations, or suggestions presented by the Service before acting upon them.
The protocols, SOPs, and cultivation data available through the Service—including those available through the SpecimenOS Marketplace—are provided by third-party users and sellers. Cannomic does not review, verify, validate, endorse, or guarantee the accuracy, safety, efficacy, or legality of any user-submitted content, including marketplace listings.
9. Intellectual Property
9.1 Cannomic’s Intellectual Property
The Service, including all software, code, algorithms, designs, interfaces, documentation, trademarks, logos, and other materials ("Cannomic IP"), is the exclusive property of Cannomic and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in Cannomic IP beyond the limited right to access and use the Service in accordance with these Terms.
9.2 Customer Data Ownership
You retain all ownership rights in your Customer Data. Cannomic does not claim any ownership interest in your Customer Data.
9.3 License to Customer Data
By using the Service, you grant Cannomic a limited, non-exclusive, worldwide, royalty-free license to access, use, process, copy, store, and display your Customer Data solely to the extent necessary to operate, maintain, improve, and provide the Service to you. This license terminates when you delete your Customer Data or when your account is terminated, subject to any applicable data retention periods described in these Terms.
10. User Content & Marketplace
10.1 User Responsibility
You are solely responsible for the accuracy, quality, integrity, and legality of all Content you upload, create, or transmit through the Service. Cannomic does not pre-screen Content and assumes no responsibility for Content submitted by users.
10.2 Marketplace Sellers
Users who participate as sellers in the SpecimenOS Marketplace are solely responsible for the quality, accuracy, safety, and legality of the SOPs, protocols, and other materials they list for sale. Marketplace sellers represent and warrant that they have the right to sell their listed content and that their listings do not infringe upon any third-party intellectual property rights.
10.3 Marketplace Buyers
Buyers who purchase protocols through the Marketplace receive a version-synced copy of the purchased protocol within their Workspace. Buyers may fork a synced protocol to create an independent copy. Cannomic does not guarantee the continued availability, accuracy, or quality of purchased protocols. Once purchased, refunds are subject to Cannomic’s Refund Policy.
10.4 Content Moderation
Cannomic reserves the right, but has no obligation, to review, monitor, edit, or remove any Content at its sole discretion, including Content that Cannomic determines violates these Terms, is objectionable, or poses a risk to users or the integrity of the Service. Cannomic may suspend or remove Marketplace listings at any time without prior notice.
10.5 No Guarantee of Sales
Cannomic makes no representations or guarantees regarding the volume of sales, revenue, or exposure that a Marketplace seller may receive. Participation in the Marketplace does not entitle sellers to any particular level of promotion or visibility.
11. Data Handling
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand our practices regarding the collection, use, and protection of your information.
11.1 Data Portability
You may export your Customer Data at any time during your active subscription through the export features provided in the Service. Cannomic will provide reasonable assistance with data export upon request.
11.2 Data Retention After Cancellation
Following the cancellation or expiration of your subscription, Cannomic will retain your Customer Data for a period of 30 days. During this retention period, you may reactivate your subscription to regain access to your data. After the 30-day retention period, Cannomic reserves the right to permanently delete all Customer Data associated with your account. Cannomic shall have no liability for data deleted after the retention period.
12. Cancellation & Termination
12.1 Cancellation by User
You may cancel your subscription at any time through your account settings or by contacting us at legal@specimenos.com. Upon cancellation, your subscription will remain active until the end of your current billing period. You will not receive a prorated refund for any unused portion of the billing period unless otherwise required by applicable law.
12.2 Termination by Cannomic
Cannomic reserves the right to suspend or terminate your account and access to the Service, immediately and without prior notice, for any of the following reasons:
- Breach of these Terms or any applicable policy.
- Abusive, fraudulent, or illegal activity.
- Non-payment of fees after the expiration of the grace period described in Section 4.6.
- Conduct that Cannomic, in its sole discretion, determines is harmful to other users, third parties, or the integrity of the Service.
- Upon request by law enforcement or government authorities.
12.3 Effect of Termination
Upon termination of your account, your right to access and use the Service ceases immediately. The data retention provisions described in Section 11.2 apply. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8 (Agricultural Disclaimer), 9 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), and 16 (Dispute Resolution).
13. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANNOMIC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
- ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA AVAILABLE THROUGH THE SERVICE.
- ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
- ANY WARRANTY THAT DEFECTS IN THE SERVICE WILL BE CORRECTED.
THE SERVICE DOES NOT PROVIDE AGRICULTURAL, AGRONOMIC, HORTICULTURAL, LEGAL, FINANCIAL, TAX, OR REGULATORY COMPLIANCE ADVICE. ANY RELIANCE ON THE SERVICE FOR SUCH PURPOSES IS AT YOUR OWN RISK.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CANNOMIC OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
14. Limitation of Liability
14.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CANNOMIC’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CANNOMIC DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID ANY FEES TO CANNOMIC, CANNOMIC’S TOTAL LIABILITY SHALL NOT EXCEED FIFTY U.S. DOLLARS ($50.00).
14.2 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CANNOMIC BE LIABLE FOR ANY OF THE FOLLOWING, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CANNOMIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES.
- LOSS OF DATA, CUSTOMER DATA, OR BUSINESS INFORMATION.
- BUSINESS INTERRUPTION OR LOSS OF GOODWILL.
- COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
- CROP LOSS, PLANT DEATH, CONTAMINATION, YIELD REDUCTION, OR ANY OTHER AGRICULTURAL LOSS (AS FURTHER DESCRIBED IN SECTION 8).
14.3 Force Majeure
Cannomic shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond Cannomic’s reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, cyberattacks, or failures of third-party service providers.
15. Indemnification
You agree to indemnify, defend, and hold harmless Cannomic and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or related to:
- Your use or misuse of the Service.
- Any Content or Customer Data you upload, create, or transmit through the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your infringement of any third-party intellectual property rights.
- Any claims arising from your cultivation activities, including but not limited to claims related to crop loss, contamination, pest damage, environmental damage, personal injury, property damage, or regulatory non-compliance.
- Any dispute between you and any third party, including Marketplace buyers or sellers.
Cannomic reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Cannomic in asserting any available defenses.
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
16.2 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at legal@specimenos.com. The parties agree to negotiate in good faith for a period of at least 30 days from the date of the initial written notice of dispute. Most disputes can be resolved informally, and we encourage you to contact us before taking any further action.
16.3 Jurisdiction & Venue
Any dispute, claim, or controversy arising out of or relating to these Terms that cannot be resolved informally shall be resolved exclusively in the state or federal courts located in the State of Delaware. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection on the grounds of inconvenient forum.
16.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Cannomic. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be deemed void.
17. Modifications to These Terms
Cannomic reserves the right to modify, amend, or update these Terms at any time. We will provide at least 30 days’ prior written notice of any material changes to these Terms via email to the address associated with your account. Material changes will be clearly highlighted in the updated Terms.
Your continued use of the Service after the notice period constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.
Non-material changes (such as typographical corrections or clarifications that do not affect your rights or obligations) may be made without advance notice. We will update the "Last Updated" date at the top of this page to reflect any changes.
18. General Provisions
18.1 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
18.2 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and Cannomic with respect to your use of the Service. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Cannomic regarding the Service.
18.3 No Waiver
The failure of Cannomic to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Cannomic.
18.4 Assignment
Cannomic may assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, at any time without notice or your consent. You may not assign, transfer, or delegate your rights or obligations under these Terms without Cannomic’s prior written consent. Any attempted assignment in violation of this section shall be null and void.
18.5 Notices
Any notices required or permitted under these Terms shall be sent to Cannomic at legal@specimenos.com. Notices to you will be sent to the email address associated with your account. Notices are deemed received when sent to the applicable email address.
18.6 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights. No person or entity other than you and Cannomic has any rights under these Terms.
